1. Use of the Site

The Site and its contents, including text, graphics, branding, logos, designs, software, documentation, and other materials, are owned by UtilityBI or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your internal, non-commercial evaluation of our business and services. You may not reproduce, modify, create derivative works from, publicly display, republish, or distribute Site materials without our prior written consent.

6. User Submissions

If you submit information through the Site, including via contact forms, demo requests, questionnaires, file uploads, or email, you:

• represent that you have the right to provide that information;
• grant us a non-exclusive, worldwide, royalty-free license to use, host, store, process, and copy that information as reasonably necessary to respond to your request, provide services, improve the Site, or comply with law;

We are not obligated to treat unsolicited submissions as confidential, unless we expressly say so in writing.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UTILITYBI, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF UTILITYBI, LLC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless UtilityBI, LLC and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, expenses, and fees arising out of or related to:

• your use of the Site;
• your violation of these Terms;
• your violation of any law or third-party right;
• information or material you submit through the Site.

12. Suspension and Termination

We may suspend, restrict, or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms, created risk for us, or if suspension is necessary for security, maintenance, or legal reasons.

13. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any legal action arising out of or relating to these Terms or the Site must be brought exclusively in the state or federal courts located in Dallas County, Texas, and you consent to their jurisdiction and venue.
